If services are discontinued for a production, the production is liable for all fees, taxes, and fines incurred.
SECTION 5 – E-SIGN SERVICES AND DOCUMENT VERIFICATION / UPLOADING
Topsheet’s E-Signature and document features are subject to the following:
We facilitate e-signing but are not a party to documents signed.
Users are responsible for validity, content, and format.
Certain documents may be exempt from e-signature laws.
We are not responsible for document retention requirements.
Users must ensure legal compliance for consumer-involved transactions.
Only Authorized Signers may sign contracts.
Authorized Signers must be of legal age and capable of entering into contracts.
SECTION 6 – ELECTRONIC DOCUMENT STORAGE AND DELETION
Document Sending / Retention: Stored during the contract term; limits may apply.
Incomplete Documents: May be deleted after 90 days or at contract termination.
Account Deletion: All data may be deleted at end of service.
Transaction Data: May be retained for business needs.
Digital Documents: Includes tax, payroll, and identity documents submitted digitally.
SECTION 7 – ELECTRONIC DOCUMENT SECURITY AND PERSONAL DATA
Customer Responsibilities: You are responsible for your document settings, access, and backups.
Information Security: Topsheet uses industry-standard security measures.
SECTION 8 – OPTIONAL TOOLS
We may offer third-party tools "as is" without warranty. Use is at your own risk.
Future features will also be subject to these Terms.
SECTION 9 – PAYROLL SERVICE
Payroll Services require a signed Payroll Service Contract. Contact hi@topsheet.io for details.
SECTION 10 – THIRD-PARTY LINKS
Our Services may link to third-party sites not affiliated with us. We are not responsible for their content or any resulting harm.

SECTION 11 – USER COMMENTS, FEEDBACK AND OTHER SUBMISSIONS
You agree that we may use any feedback, suggestions, or ideas you submit.
We may, but are not obligated to, monitor or remove unlawful or offensive content.

If any provision is deemed unenforceable, the remaining provisions remain in effect.

These Terms remain effective unless terminated by you or us. Breach of Terms may result in immediate termination.
SECTION 19 – ENTIRE AGREEMENT
These Terms, along with our posted policies, constitute the entire agreement and supersede prior communications.
SECTION 20 – DISPUTES
Disputes must be resolved by binding arbitration, except for qualifying small claims.
No class or representative actions allowed.
Arbitration governed by AAA rules.
Arbitration location: mutual agreement or your county.
Either party may seek injunctive relief for IP infringement.
SECTION 21 – GOVERNING LAW
These Terms are governed by the laws of the State of California, USA.
